1. Who We Are

Garnexis LLC is a healthcare shift marketplace based in Batesville, Mississippi, located at 161 Commerce Street, Batesville, MS 38606. We provide a mobile application and web platform that connects healthcare facilities with credentialed nursing professionals.

2. Information We Collect

From Nurses

  • Full name, email address, and phone number
  • Date of birth and home address
  • Professional credential (CNA, LPN, RN) and license number
  • Credential documents (nursing license, CPR card, government ID, TB results)
  • GPS location at time of clock in and clock out
  • Device push notification token for shift alerts
  • Shift claim history, clock in/out records, and hours worked
  • Referral code and referral activity
  • Messages you send in in-app chat and to the Ernie AI assistant

From Facility Admins

  • Full name, work email address, and facility name
  • Role and job title
  • Shift posting and claims management activity

Automatically Collected

  • Device type, operating system, and app version
  • Usage data and in-app interactions
  • Firebase authentication tokens

3. How We Use Your Information

We use your information solely to operate and improve the Garnexis platform:

  • To create and manage your account
  • To verify nurse credentials before approving platform access
  • To match nurses with eligible shifts based on credential and location
  • To track clock in and clock out for shift verification and payroll
  • To send push notifications about new shifts or claim updates
  • To allow facility admins to post, manage, and fill shifts
  • To process uploaded Excel schedules and auto-generate shift listings
  • To calculate and process nurse compensation
  • To improve platform performance and fix bugs
  • To respond to support requests

4. How We Share Your Information

We do not sell, rent, or trade your personal information. We may share limited data in the following circumstances:

  • With facilities: When a nurse claims a shift, the facility admin can see the nurse's name, credential, and reliability score
  • With nurses: Facility name, unit, shift time, and pay rate are visible to eligible nurses
  • Service providers: We use Firebase (Google) for authentication and database services, Expo for push notifications, and Twilio for SMS communications
  • AI Services: See Section 8 (AI Services & Data Sharing) for full details on what data is shared with AI providers, who receives it, and the consent process.
  • Payment processors: When payment features are activated, we may share necessary information with Stripe to process compensation
  • Legal requirements: We may disclose information if required by law or to protect the rights and safety of our users

5. Location Data

Garnexis collects your GPS location when you clock in and clock out of a shift. This location data is used solely to verify your presence at the shift facility and to maintain accurate work records. Location data is stored on your shift claim record and is accessible to Garnexis administrators.

Location access is required to clock in and out of shifts. If you deny location permission, you will not be able to clock in. You can manage location permissions in your device settings at any time.

6. Data Security

We use industry-standard security measures to protect your data, including Firebase's built-in security rules, encrypted data transmission (HTTPS/SSL), and authentication tokens.

We have reviewed and accepted the Google Cloud Platform HIPAA Business Associate Addendum, effective April 15, 2026. Firebase, Google Cloud Vision, and Google Cloud Functions are all covered under this agreement, ensuring appropriate handling of protected health information within our Google Cloud infrastructure.

No system is 100% secure. We encourage you to use a strong password and to contact us immediately if you suspect unauthorized access to your account.

7. Push Notifications

If you grant permission, Garnexis may send push notifications to your device about new shifts, claim approvals or rejections, credential status updates, and platform updates. You can disable notifications at any time through your device settings or in the Garnexis app under Settings → Notifications.

8. AI Services & Data Sharing

Garnexis shares limited user data with the following third-party AI services solely to provide app functionality:

  • Anthropic PBC (Claude AI) — When you chat with the Ernie assistant, your chat messages are sent to Anthropic, along with your name, credential type, and relevant shift data, so Ernie can generate accurate responses. Anthropic does not use this data to train its models.
  • Google LLC (Cloud Vision) and Anthropic PBC — When you upload a credential document for verification, the document image and the information extracted from it (such as name, license type, license number, and expiration date) are sent to Google Cloud Vision for text extraction and to Anthropic's Claude AI for verification. This data is used only to verify your credential.
  • Anthropic PBC (Claude AI) — When a facility administrator uploads a staffing schedule spreadsheet, its contents are sent to Anthropic's Claude AI to extract open shifts. This data is used only to parse the schedule.

Both providers are contractually bound to data protection standards equivalent to those described in this policy. Garnexis requests your explicit in-app permission before either type of sharing occurs, and you may decline at any time, though doing so may limit certain app features (such as the Ernie assistant or automated credential verification).

You may revoke consent for these features, or request deletion of your data, including data shared with these providers, by emailing us at privacy@garnexis.com or by deleting your account within the Garnexis app under Settings → Delete Account.

9. Your Rights & Data Deletion

You have the right to:

  • Access the personal data we hold about you
  • Request correction of inaccurate information
  • Request deletion of your account and all associated data
  • Opt out of push notifications at any time

To request data deletion or access, email us at support@garnexis.com. We will process your request within 30 days. You may also delete your account directly within the Garnexis app under Settings → Delete Account.

10. Children's Privacy

Garnexis is intended for use by licensed healthcare professionals and facility administrators. We do not knowingly collect information from anyone under the age of 18. If you believe a minor has provided us with personal information, please contact us immediately at support@garnexis.com.

11. Changes to This Policy

We may update this Privacy Policy from time to time. When we do, we will update the effective date at the top of this page and notify users via the app or email for material changes. Continued use of Garnexis after changes are posted constitutes acceptance of the updated policy.

Terms of Service

1. Acceptance of Terms

By accessing or using the Garnexis mobile application or website (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use Garnexis.

These terms apply to all users, including nurses, facility administrators, and visitors to the Garnexis website.

2. Platform Description

Garnexis is a healthcare shift marketplace that allows:

  • Healthcare facilities to post open shifts and manage nurse claims
  • Credentialed nurses to browse and claim available shifts

Garnexis is a technology platform only. We are not a staffing agency, employer, or healthcare provider. We do not guarantee the quality, safety, or legality of any shift posted on the platform.

3. Account Registration

To use Garnexis, you must create an account and provide accurate information. You agree to:

  • Provide truthful and complete registration information
  • Keep your account credentials confidential
  • Notify us immediately of any unauthorized account access
  • Be responsible for all activity that occurs under your account

4. Nurse Responsibilities

As a nurse using Garnexis, you agree to:

  • Provide accurate credential information (CNA, LPN, RN)
  • Only claim shifts you are qualified and available to work
  • Show up to confirmed shifts on time and as agreed
  • Clock in and clock out using the Garnexis app for every shift
  • Notify the facility as early as possible if you cannot fulfill a confirmed shift
  • Conduct yourself professionally at all times while on shift
  • Comply with all applicable healthcare regulations and facility policies
  • Maintain all required licenses and credentials in good standing
Garnexis reviews submitted credentials before approving nurses for the platform. However, nurses represent and warrant that all submitted credential information is current, valid, and accurate. Garnexis does not guarantee the accuracy of submitted credentials.

5. Facility Responsibilities

As a facility admin using Garnexis, you agree to:

  • Post accurate and honest shift information including times, location, and pay rates
  • Honor the pay rate listed on any shift you post
  • Review and respond to shift claims in a timely manner
  • Treat all nurses professionally and in compliance with applicable law
  • Ensure your facility complies with all applicable staffing regulations

6. Payments & Compensation

Shift pay rates are displayed on each shift posting at the time of claiming. Garnexis facilitates compensation between facilities and nurses. Current and future payment terms are as follows:

  • Nurses are compensated based on verified clock in and clock out records
  • Garnexis reserves the right to adjust payment timing and methods with reasonable notice
  • Nurses are independent contractors responsible for their own taxes
  • Garnexis will issue IRS Form 1099 where required by law

Future versions of Garnexis may include integrated payment processing via Stripe. Separate terms will apply to those features when available.

7. Prohibited Conduct

You agree not to:

  • Provide false or misleading information during registration or shift posting
  • Claim shifts with no intention of working them
  • Falsify clock in or clock out records
  • Harass, threaten, or discriminate against any user of the platform
  • Attempt to access accounts or data that are not yours
  • Use the platform for any illegal purpose
  • Reverse engineer, scrape, or copy any part of the platform
  • Interfere with the proper functioning of the platform

8. No-Show Policy & Reliability Standards

8.1 Definition of a No-Show

A "no-show" occurs when a nurse whose shift claim has been confirmed fails to appear at the assigned facility at the scheduled start time without providing advance notice through the Garnexis platform. A no-show also includes any instance where a nurse abandons a shift prior to its scheduled completion without authorization from the facility.

8.2 Nurse Responsibilities After Claiming a Shift

By claiming and having a shift confirmed on Garnexis, a nurse agrees to report to the assigned facility on time and prepared to work; notify the facility and cancel through the Garnexis platform no later than four (4) hours before the scheduled start time if unable to attend; complete the full duration of the shift unless released early by the facility; and comply with all facility policies, dress codes, and conduct standards.

Cancellations made with less than four (4) hours notice may be treated as a late cancellation and may negatively affect a nurse's Reliability Score at Garnexis's discretion.

8.3 Three-Strike Enforcement System

Garnexis maintains a progressive enforcement system for nurse no-shows:

1st No-Show
Written Warning
Formal notice via email and in-app notification. Logged in account record. No shift access restricted.
2nd No-Show
30-Day Suspension
Account suspended for thirty (30) calendar days. Unable to browse, claim, or be confirmed for any shifts.
3rd No-Show
Permanent Deactivation
Account permanently deactivated. Garnexis reserves the right to deny any future registration from the same individual.

Garnexis reserves the right to apply enforcement at any stage based on the severity or pattern of conduct, including immediate suspension or deactivation where warranted.

8.4 Reliability Score

Each nurse account is assigned a Reliability Score beginning at 100. This score may be reduced by confirmed no-shows, late cancellations made within four (4) hours of a shift start time, documented patterns of last-minute cancellations, and complaints submitted by facility administrators. Nurses whose score falls below defined thresholds may have reduced access to available shifts.

8.5 Dispute Process

A nurse who believes a no-show has been recorded in error may submit a dispute within seven (7) calendar days of receiving notice. Disputes must be submitted in writing to support@garnexis.com and must include the nurse's full name, the date and location of the disputed shift, and any supporting documentation. Garnexis will review all disputes and issue a written determination within ten (10) business days. The determination of Garnexis is final.

8.6 Deposit System (Future Feature — Not Currently Active)

Garnexis may, at a future date, implement a shift deposit system. No deposit will be collected without the nurse's explicit prior consent. Garnexis will provide advance written notice to all users before activating any deposit requirement. No automatic charges will be initiated without the nurse's explicit prior written consent.

9. Account Suspension & Termination

Garnexis reserves the right to suspend or terminate any account at our discretion, including for:

  • Violation of these Terms of Service
  • No-shows to confirmed shifts as outlined in Section 8
  • Posting inaccurate or fraudulent shift information (facilities)
  • Submitting falsified credentials
  • Any conduct we determine to be harmful to the platform or its users

10. Disclaimer of Warranties

Garnexis is provided "as is" without warranties of any kind. We do not guarantee that the platform will be available at all times, error-free, or that shifts posted will be filled. We are not responsible for the conduct of any nurse or facility using the platform.

11. Limitation of Liability

To the fullest extent permitted by law, Garnexis LLC shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform, including but not limited to lost wages, missed shifts, or disputes between nurses and facilities.

12. Governing Law

These Terms of Service are governed by the laws of the State of Mississippi. Any disputes arising from these terms shall be resolved in the courts of Panola County, Mississippi.

13. Changes to These Terms

We may update these Terms of Service at any time. We will notify users of material changes via the app or email. Continued use of Garnexis after changes are posted constitutes acceptance of the updated terms.

Independent Contractor Agreement

This Independent Contractor Agreement (the "Agreement") is made and entered into by and between Garnexis LLC ("Garnexis LLC"), having its principal place of business at 161 Commerce Street, Batesville, MS 38606, and the individual nurse accepting this Agreement during onboarding ("Contractor"). Whereas, Contractor is a licensed professional nurse or certified nursing assistant engaged in the business of providing skilled professional nursing services; and whereas Garnexis LLC operates a nurse staffing marketplace connecting healthcare facilities with credentialed nursing professionals; now, therefore, in consideration of the mutual promises contained herein, Garnexis LLC and Contractor agree as follows:

1. Appointment as Independent Contractor

Garnexis LLC hereby appoints Contractor, and Contractor hereby accepts such appointment, as an independent contractor to provide skilled professional nursing services to Clients of Garnexis LLC through the Garnexis platform.

As an independent contractor, Contractor shall determine, according to his/her professional judgment, expertise, and discretion, his/her own method of operation and the manner in which Services will be performed. Contractor shall complete all Services in a professional manner consistent with applicable medical practices, clinical guidelines, and legal and ethical considerations.

2. Description of Services

Garnexis LLC will provide Contractor with access to the Garnexis platform where Contractor may view and claim available shifts posted by facility clients. Contractor must fully, accurately, and truthfully complete all required onboarding forms to document education, licensure, knowledge, skills, and experience.

Garnexis LLC will offer Contractor the opportunity, on an independent contractor basis, to claim shifts through the platform depending upon client needs and Contractor's credential and availability. Contractor is under no obligation to claim any minimum number of shifts. Garnexis LLC does not guarantee any minimum number of shifts or hours.

When the Contractor claims and confirms a shift, Contractor is bound by this Agreement to provide such services. Should the Contractor be unable to fulfill a confirmed shift, Contractor must notify Garnexis LLC no less than four (4) hours prior to the start time so that alternative coverage may be arranged. Failure to appear without proper notice may result in immediate termination of this Agreement at Garnexis LLC's sole discretion.

Garnexis LLC shall have no right to direct, supervise, or control the Contractor while performing services. Contractor is not, and will not under any circumstances act as, an employee or agent of Garnexis LLC.

Contractor is solely responsible for maintaining his/her nursing license(s), completing all continuing education requirements, and complying with any requirements set forth by the State Board of Nursing in the state(s) of licensure, as well as all costs and fees of such training, education, and licenses.

Any Client of Garnexis LLC has the authority to prohibit the Contractor from working in its facility if the Client determines, in its sole discretion, that Contractor is unfit or services rendered are unsatisfactory. In such event, Garnexis LLC has the right to terminate this Agreement immediately. Contractor shall be entitled to compensation for services actually provided.

3. Compensation

Garnexis LLC shall pay Contractor the hourly rate displayed on each shift at the time of claiming, for all properly documented services performed. Payment will be issued following completion and verification of each shift via the Garnexis platform. Garnexis LLC reserves the right to adjust rates with reasonable notice.

This compensation represents the sum total of Contractor's compensation under this Agreement. Contractor shall not be eligible for any other type of compensation, nor shall Contractor be eligible to participate in any fringe benefit program that Garnexis LLC or its Clients may offer to employees.

4. Term

This Agreement shall continue in full force and effect for a period of one year from the effective date and shall automatically renew from year to year thereafter unless either party gives written notice of termination at least 30 days prior to the end of any one-year term.

5. Notice of Termination

Either Garnexis LLC or Contractor may terminate this Agreement at any time and for any or no reason by giving written notice to the other party at least 30 days in advance. The notice period may be waived by Garnexis LLC if Contractor failed to perform Services satisfactorily or failed to maintain his/her nursing license in good standing.

6. Independent Contractor Relationship

It is expressly understood that the Contractor is and shall at all times remain an independent contractor responsible for his/her own actions. Nothing in this Agreement shall be construed to make Contractor an employee or agent of Garnexis LLC or its Clients. Neither party shall have any authority to bind the other in any respect.

7. Disclaimer of Benefits

Contractor understands and agrees that none of the compensation and benefits provided by Garnexis LLC to any employees — including salary, wages, overtime, group health insurance, life insurance, unemployment and workers' compensation contributions, pension plan contributions, or any other benefits — shall be available to Contractor.

8. Non-Exclusivity

Contractor is free to engage in other contracting, consulting, employment, or other independent business activities during the term of this Agreement, including working on other staffing platforms, provided that such activities do not interfere with Contractor's ability to perform Services Contractor has agreed to perform for Clients of Garnexis LLC.

9. Tax Responsibility

Garnexis LLC hereby notifies Contractor that no provision will be made for the withholding of any local, state, or federal income tax, Social Security taxes, unemployment compensation premiums, workers' compensation premiums, or any other employment-related tax. Contractor acknowledges and agrees that he/she bears individual responsibility for all employment taxes including the federal self-employment tax.

Garnexis LLC shall be responsible only for issuing an IRS Form 1099 on an annual basis where required. Contractor shall complete and provide to Garnexis LLC an IRS Form W-9 prior to performing any Services.

10. Indemnification

Contractor agrees to indemnify and hold harmless Garnexis LLC against (a) any and all liabilities, losses, claims, or actions arising from damage or injury to persons or property caused by or sustained in connection with Contractor's performance of Services under this Agreement, and (b) any tax liabilities, together with any interest or penalties assessed thereon, which Contractor or Garnexis LLC may be assessed arising from payments made to Contractor pursuant to this Agreement.

11. Insurance

Contractor shall be responsible for obtaining his/her own professional liability insurance, at Contractor's own expense, in coverage amounts of no less than One million dollars ($1,000,000) per occurrence and Three million dollars ($3,000,000) in the aggregate.

Contractor further understands and acknowledges that because he/she is an independent contractor and not an employee of Garnexis LLC, Contractor is not covered by any state's workers' compensation insurance through Garnexis LLC.

12. Non-Disclosure

In connection with engagement under this Agreement, Contractor may learn confidential information of Garnexis LLC or its Clients, including but not limited to client lists, business plans, pricing information, and any other information not known to the general public ("Confidential Information"). During and after the term of this Agreement, Contractor shall not directly or indirectly disclose or communicate any Confidential Information of Garnexis LLC or its Clients to any person or entity.

13. Non-Solicitation of Contractors

During the term of this Agreement, Contractor shall not directly solicit any other Contractor of Garnexis LLC to terminate their relationship with Garnexis LLC.

14. HIPAA Compliance

Contractor agrees to comply with all applicable HIPAA regulations and maintain the confidentiality of all patient information encountered during the performance of services. Contractor acknowledges that any unauthorized disclosure of protected health information may result in immediate termination of this Agreement and potential legal liability.

15. Severability

If any provision of this Agreement is held to be illegal, invalid, or unenforceable, Garnexis LLC and Contractor agree that such term or provision shall be deemed modified to the extent necessary to permit its enforcement to the maximum extent permitted by applicable law.

16. Entire Agreement

This Agreement contains the entire agreement between Garnexis LLC and Contractor and completely supersedes any and all prior agreements, written or oral, between the parties. This Agreement cannot be waived, modified, or supplemented except by written agreement executed by the Contractor and the Owner of Garnexis LLC.

17. No Assignment

This Agreement is personal in nature and shall not be assignable or transferable by either party without the prior written consent of the other party.

18. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Mississippi. Any action to enforce any provision of this Agreement shall be brought only in a state or federal court located in or having jurisdiction over Panola County, Mississippi.

19. Certification

By accepting this Agreement during the Garnexis onboarding process, Contractor certifies that he/she has read this Independent Contractor Agreement carefully and in its entirety, fully understands its terms, and freely, knowingly, and voluntarily enters into it.

Acceptance of this Agreement is recorded electronically at the time of onboarding and includes the Contractor's full name, date of acceptance, and account information as the binding signature.
